1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of this website operated by Bhargava Innovation Labs under the name TheSameDay.Club ("TheSameDay.Club", "we", "us", or "our"). By accessing or using the website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.

2. Eligibility

You must be legally capable of entering a binding agreement and use the website for lawful business or informational purposes. If you use it for an organization, you represent that you are authorized to act for that organization.

3. Use of the website

We grant you a limited, revocable, non-exclusive, non-transferable right to access the website for lawful evaluation of our business and services. You must not:

• attempt unauthorized access to the website, systems, accounts, or data;

5. Services and separate agreements

Warehousing, inventory handling, ecommerce fulfilment, transportation, returns, integrations, marketplace support, payments, fees, liability allocation, service levels, and other commercial services are provided only under an accepted written proposal, order form, statement of work, or services agreement.

If a customer agreement conflicts with these website Terms concerning contracted services, the customer agreement controls for those services. Scheduling a call, submitting an enquiry, or receiving a proposal does not itself create a services agreement.

6. Quotations and payments

Any quotation is subject to its stated validity period, scope, assumptions, exclusions, taxes, and final acceptance. Unless a signed agreement says otherwise, website prices or examples are illustrative and may change. Payment obligations arise only under an applicable written agreement or accepted order.

7. Intellectual property

The website, brand, design, text, graphics, software, and other materials are owned by or licensed to us and are protected by applicable intellectual-property laws. Except for the limited website-use right above, no rights are granted. Third-party names, logos, platforms, and trademarks belong to their respective owners; references do not imply endorsement unless expressly stated.

If you contact us, you authorize us to respond using the details you provide. You represent that information and material you submit are accurate, lawful, and provided with appropriate authority. Do not send confidential, proprietary, or sensitive information before suitable confidentiality arrangements are in place.

We do not control and are not responsible for their content, availability, security, terms, or privacy practices. Your use of a third-party service is governed by its own terms.

10. Disclaimer of warranties

11. Limitation of liability

To the maximum extent permitted by law, Bhargava Innovation Labs, TheSameDay.Club, and their personnel will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from website use, including loss of profits, revenue, business opportunity, goodwill, or data.

For claims arising solely from use of the free public website and not governed by a separate written agreement, our aggregate liability will not exceed INR 1,000. This limitation does not exclude liability that cannot legally be excluded or limited.

To the extent permitted by law, you agree to indemnify us against third-party claims, losses, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, or material you submit without proper rights or authority.

13. Suspension and termination

We may restrict or terminate access to the website if we reasonably believe use is unlawful, harmful, insecure, or inconsistent with these Terms. Provisions that by nature should survive—including intellectual property, disclaimers, liability limitations, and governing law—will survive termination.

14. Changes to these terms

We may update these Terms by posting a revised version and changing the effective date. Continued use after an update means you accept the revised Terms. Material changes may also be communicated through another appropriate channel.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory legal rights, courts located in Delhi, India will have exclusive jurisdiction over disputes arising from these Terms or use of the website.

16. General terms

If a provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a restructuring or transfer of the relevant business. These Terms and the Privacy Policy form the entire agreement concerning use of the public website, except where a separate written agreement applies.
